1. Introduction and acceptance of terms

You acknowledge that livestock-related services may involve inherent biological, transport, handling, environmental, and market risks. We do not guarantee specific outcomes, including weight gain, market prices, fertility results, disease-free status, transport outcomes, or profitability, unless expressly stated in writing.

3. User obligations and responsibilities

You agree to provide accurate, complete, and timely information necessary for Green Valley Cattle Ltd to perform the services. This includes, where applicable, details about herd health, animal identification, movement records, housing conditions, welfare concerns, veterinary history, biosecurity measures, site access, and any known risks or restrictions.

You are responsible for ensuring that:

• you have the legal right and authority to instruct us;
• all animals made available for inspection, handling, transport coordination, or supply are lawfully owned, controlled, and fit for the requested service;
• your premises, facilities, equipment, and handling systems are safe, suitable, and compliant with applicable law;
• you comply with all animal welfare, movement, identification, traceability, and biosecurity obligations relevant to your business;
• you obtain any permits, approvals, consents, or third-party authorisations required for the services;
• you disclose any special handling requirements, aggression, illness, injury, pregnancy status, medication, or welfare issues affecting cattle;
• you provide appropriate supervision and assistance where reasonably required; and
• you act promptly on any recommendations relating to health, welfare, transport, or handling.

You must not knowingly provide false, misleading, or incomplete information. You remain solely responsible for decisions made on the basis of our advice, recommendations, or observations, unless otherwise agreed in writing.

You shall indemnify Green Valley Cattle Ltd against losses arising from your breach of these obligations, except to the extent caused by our negligence or wilful misconduct, as determined by applicable law.

4. Payment terms and conditions

Unless otherwise agreed in writing, all fees, charges, and expenses are payable in accordance with the relevant quotation, invoice, or service agreement issued by Green Valley Cattle Ltd.

• Prices may be exclusive of VAT and any applicable taxes, unless stated otherwise.
• We may require a deposit or advance payment before commencing work or reserving capacity.
• Invoices are due within the period stated on the invoice. If no period is stated, payment is due within 14 days of invoice date.
• You are responsible for bank charges, currency conversion costs, and transaction fees unless otherwise agreed.
• We may suspend services, delay performance, or refuse further bookings where any invoice remains unpaid.

Any disputed invoice item must be notified to us in writing promptly and in any event before the due date. You must pay any undisputed amount on time. Late payments may accrue statutory or contractual interest to the fullest extent permitted by law, together with reasonable recovery costs.

Where services require third-party costs, including transport, specialist handling, veterinary attendance, or market-related charges, you agree to reimburse such costs if incurred on your behalf or with your approval, or if they were reasonably necessary to complete the service.

5. Cancellation and refund policy

Cancellations must be made in writing. The amount payable on cancellation depends on the stage of preparation, resources allocated, and third-party commitments already made by Green Valley Cattle Ltd.

• If you cancel before any material work has begun, we may refund sums paid less reasonable administrative costs.
• If you cancel after work has commenced, you shall pay for all work performed, expenses incurred, and non-recoverable third-party charges.
• If a booking is cancelled at short notice, we may charge a cancellation fee reflecting lost time, reserved capacity, and preparatory work.
• Where livestock sourcing or procurement has taken place, any refund will be subject to the terms agreed for that transaction and any non-recoverable costs already incurred.

Refunds are not guaranteed and will only be made where required by a written agreement or applicable law. We are not responsible for delays, failures, or additional costs caused by factors outside our control, including animal availability, weather, disease restrictions, transport disruption, market changes, or third-party non-performance.

If we cancel a service for reasons within our control, we will use reasonable efforts to offer an alternative date or a refund of any unearned fees, subject to any lawful deductions for work already completed or costs already incurred.

6. Liability limitations

Nothing in these Terms excludes or limits liability where such exclusion or limitation would be unlawful, including liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot legally be excluded.

Subject to the foregoing, Green Valley Cattle Ltd shall not be liable for:

• loss of profit, loss of revenue, loss of business, loss of opportunity, or loss of goodwill;
• indirect, incidental, special, or consequential loss;
• loss or damage arising from inaccurate or incomplete information supplied by you or a third party;

• market fluctuations or commercial decisions made by you;
• delays or failures caused by transport disruption, adverse weather, disease control measures, government action, or third-party acts or omissions.

To the fullest extent permitted by law, our total aggregate liability arising out of or in connection with any service shall be limited to the amount paid or payable by you for the specific service giving rise to the claim, or such other amount as may be mandatory under applicable law.

You acknowledge that livestock activities are inherently risky and require professional judgment. Any recommendations, observations, or assistance provided by Green Valley Cattle Ltd are given in good faith based on the circumstances known to us at the time, and you remain responsible for final decisions unless expressly agreed otherwise in writing.

7. Intellectual property rights

All intellectual property rights in our website, documents, templates, reports, photographs, text, branding, methodologies, and other materials created or supplied by Green Valley Cattle Ltd remain our property or the property of our licensors, unless otherwise agreed in writing.

You are granted a limited, non-exclusive, non-transferable right to use materials supplied to you solely for the purpose of receiving and using our services.
